IMPORTANT LEGAL NOTICE

ALOVA Canada (“ALOVA”, “Platform”, “we”, “us”, “our”) is a multi-vendor marketplace and technology provider.

  • Vendors are the sellers of record unless explicitly stated otherwise
  • Drivers are independent contractors, not employees
  • ALOVA facilitates payments, logistics coordination, and platform services

SECTION 1 - ACCEPTANCE OF TERMS

By accessing or using ALOVA’s website, mobile applications, or services (“Platform”), you agree to these Terms and all referenced policies, including:

  • Privacy Policy
  • Refund & Dispute Policy
  • Shipping Policy
  • Acceptable Use Policy

If you do not agree, you must not use the Platform.


SECTION 2 - ELIGIBILITY

You must:

  • Be at least 18 years old (or age of majority in your province)
  • Have legal capacity to enter a contract
  • Comply with applicable laws

SECTION 3 - NATURE OF THE PLATFORM

ALOVA is a marketplace intermediary, not a retailer.

ALOVA:

  • Does not own inventory
  • Does not manufacture or inspect goods
  • Does not guarantee vendor performance

Vendors are solely responsible for:

  • Product quality, safety, and legality
  • Pricing, inventory, and accuracy
  • Licensing and compliance
  • Customer service and fulfillment

SECTION 4 - THREE-LANE RESPONSIBILITY MODEL

4.1 Platform Responsibilities (ALOVA)

ALOVA handles:

  • Payment processing errors
  • Platform technical issues
  • Delivery protection claims

4.2 Vendor Responsibilities

Vendors handle:

  • Product quality and accuracy
  • Returns and refunds (non-shipping issues)
  • Order fulfillment
  • Customer communication

4.3 Buyer Legal Rights

Nothing in these Terms limits rights under applicable Canadian consumer protection laws.


SECTION 5 - ACCOUNTS & SECURITY

You agree to:

  • Provide accurate information
  • Protect login credentials
  • Be responsible for all account activity

ALOVA may suspend accounts for:

  • Fraud or misuse
  • Policy violations
  • False information

SECTION 6 - ORDERS, PAYMENTS & CHECKOUT

6.1 Payment Processing

Payments are processed via third parties (e.g., Stripe).
ALOVA does not store full card details.


6.2 Multi-Vendor Orders

Orders may include multiple vendors. You acknowledge:

  • Items may ship separately
  • Multiple shipping fees may apply
  • Delivery times may vary
  • Multiple tracking numbers may be issued

6.3 Pricing Errors

Orders may be cancelled and refunded in case of system or pricing errors.


6.4 Fraud Controls

ALOVA may delay or cancel orders where fraud is suspected.


SECTION 7 - SHIPPING & DELIVERY

Shipping may be fulfilled through:

  • Carrier networks (e.g., Canada Post, UPS, Purolator)
  • Local couriers
  • On-demand delivery services

Delivery timelines:

  • Are estimates only
  • Not guaranteed

ALOVA is not responsible for delays caused by:

  • Carriers
  • Weather
  • Incorrect address
  • Events beyond control

SECTION 8 - SHIPPING FEES & DELIVERY PROTECTION

Shipping charges may include:

  • Carrier rates
  • Platform logistics margin
  • Service & protection fee

8.1 Delivery Protection

ALOVA provides delivery protection for eligible shipments.

Covered:

  • Lost packages
  • Damaged items in transit
  • Stolen deliveries (where applicable)

Requirements:

  • Must be reported within 48 hours
  • Evidence may be required

ALOVA may:

  • Replace the item
  • Issue a refund

8.2 Exclusions

Not covered:

  • Change of mind
  • Size/fit issues
  • Delays not tied to loss/damage
  • Perishable goods (unless eligible)

SECTION 9 - RETURNS, REFUNDS & DISPUTES

9.1 Vendor-Controlled Returns

For product-related issues, buyers must follow the vendor’s return policy.

Vendors must:

  • Publish a return policy on their store page
  • Apply it consistently
  • Comply with consumer laws

9.2 Platform-Controlled Issues

ALOVA handles:

  • Delivery protection claims
  • Payment errors
  • Platform-related issues

9.3 Reporting Timeframes

  • Shipping issues → 48 hours
  • Vendor issues → 7 days (unless law requires otherwise)

9.4 Dispute Process

  1. Buyer contacts vendor
  2. Vendor responds within 3–7 business days
  3. Escalation to ALOVA
  4. ALOVA reviews and facilitates

ALOVA:

  • Does not act as a court or arbitrator
  • May recommend solutions

9.5 Chargebacks

To the extent permitted by law:

  • Buyers must attempt platform resolution first
  • Vendors must cooperate with investigations

ALOVA may:

  • Restrict accounts for abusive chargebacks

9.6 Abuse Prevention

ALOVA may reject:

  • Fraudulent claims
  • Repetitive disputes
  • Bad-faith complaints

SECTION 10 - TAXES

Vendors are responsible for:

  • GST/HST compliance
  • Tax collection and remittance

ALOVA may charge taxes on its own fees where required.


SECTION 11 - REVIEWS & CONTENT

Users may post reviews if:

  • Honest
  • Based on actual experience

Prohibited:

  • Fake or misleading reviews
  • Manipulated ratings

ALOVA may remove violating content.


SECTION 12 - PROHIBITED USE

You may not:

  • Use the platform unlawfully
  • Harass users
  • Attempt hacking or exploitation
  • Circumvent payments

SECTION 13 - INTELLECTUAL PROPERTY

All ALOVA branding, content, and systems are protected.

You may not copy or use without permission.


SECTION 14 - DISCLAIMERS

The Platform is provided:

“As is” and “as available”

ALOVA does not guarantee:

  • Continuous service
  • Error-free operation
  • Vendor performance

SECTION 15 - LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • ALOVA is not liable for vendor conduct or products
  • ALOVA is not liable for indirect, incidental, or consequential damages
  • Liability is limited to:
    • Fees paid to ALOVA, or
    • Transaction amount (where required by law)

SECTION 16 - INDEMNIFICATION

You agree to indemnify ALOVA against claims arising from:

  • Misuse of the Platform
  • Legal violations
  • Fraud or misconduct

SECTION 17 - TERMINATION

ALOVA may suspend or terminate accounts for:

  • Fraud
  • Policy violations
  • Legal risks

SECTION 18 - GOVERNING LAW

These Terms are governed by:
Ontario, Canada

Disputes are resolved in Ontario courts unless otherwise required by law.


SECTION 19 - POLICY UPDATES

ALOVA may update these Terms at any time.
Continued use means acceptance.
